Membership Terms

General Terms plus Plan-Specific Terms for Founding Membership and Standard MembershipLast updated: March 17, 2026

These Membership Terms ("Terms") govern the purchase and use of membership plans offered by Scrappy Founders Inc ("12 Scrappy Founders," "12SF," "we," "us," or "our").By purchasing a membership, checking a box to accept these Terms, or otherwise using membership benefits, you agree to these Terms.These Terms contain: (a) general terms that apply to all memberships, and (b) plan-specific terms that apply only to the membership plan you purchase. If there is a conflict between the general terms and the plan-specific terms for your plan, the plan-specific terms control.

1. Membership Overview

12SF offers curated memberships for founders, operators, investors, and related participants. Membership benefits may include community access, events, member communications, directories, chats, booking windows, special pricing, trips, experiences, or other programming described on the applicable membership page or checkout page.Membership is offered for networking, community, educational, and experiential purposes. Membership does not include investment advice, legal advice, tax advice, accounting advice, brokerage services, therapy, employment placement, or any promise of business results.

2. Eligibility

You represent that you are at least 18 years old, have authority to enter into these Terms, and will provide accurate and complete information.
We may accept, reject, suspend, or revoke a membership application or purchase in our discretion, subject to applicable law.

3. Plan-Specific Terms and Checkout Disclosures

Membership features, pricing, billing cadence, term length, included benefits, credits, renewal terms, cancellation rights, and refund rules depend on the membership plan you purchase.
The applicable plan-specific terms are set out below in these Terms. They may also be summarized on the applicable membership page, checkout page, order page, or confirmation email. If there is any conflict among those plan-specific disclosures, the clearest and most specific plan-specific disclosure made at checkout controls, except to the extent prohibited by law.

4. Changes to Benefits and Programming

We may add, remove, pause, replace, or modify benefits, events, features, hosts, speakers, venues, communication channels, or programming at any time.That does not entitle you to a refund, credit, or damages so long as the membership remains generally consistent with the type of membership purchased, except as required by law.

5. Event Access and Availability

Membership does not guarantee access to every event, trip, gathering, roundtable, dinner, experience, or communication channel.Event access may be limited by capacity, fit, timing, geography, safety, third-party availability, or other operational constraints.Priority access, early booking windows, special pricing, or member eligibility do not guarantee admission to any specific event or experience.

6. Additional Event Costs

Unless expressly stated otherwise, membership fees do not include third-party travel, lodging, transportation, meals, equipment, taxes, or other out-of-pocket costs associated with particular events or experiences. Where additional costs apply, we may disclose them in advance.

7. Member Conduct

You agree to participate professionally and respectfully.You may not harass, threaten, discriminate against, stalk, spam, defame, impersonate, misuse community access, scrape member data, disclose others' non-public information without permission, or otherwise disrupt the community, events, or operations.We may suspend or terminate your membership or event access if we reasonably believe you violated these Terms, created risk for others, or are not a fit for the community.

8. Confidentiality and Member Information

You may receive access to non-public discussions, directories, chats, introductions, or business information. You agree not to copy, sell, scrape, share, or misuse non-public member information or community discussions without permission.We cannot guarantee that other members or third parties will protect your information. You remain responsible for what you choose to share.

9. Risk of Activities; Separate Waivers

Some events, trips, or experiences may involve outdoor, physical, travel-related, or overnight activities. Participation in such activities may involve inherent risks, including injury, illness, property loss, weather, terrain, transportation issues, and third-party conduct.You are responsible for deciding whether an activity is appropriate for you.For certain activities, we may require a separate event-specific waiver, release, or participation agreement. Those separate documents supplement these Terms and control for that activity if there is a conflict.

10. Payment Authorization

You authorize us and our payment processor to charge your selected payment method for all amounts due under your chosen plan, including recurring renewals or installment payments that you agreed to at checkout.You are responsible for applicable taxes except taxes based on our net income.

11. Failed Payments

If a payment fails, we may retry the payment method on file and may suspend access to membership benefits, events, bookings, chats, directories, or credits until your account is brought current.To the extent permitted by law, we may pursue unpaid amounts owed under the plan you purchased.

12. No Guarantees

We do not guarantee any specific business, fundraising, networking, social, personal, or community outcome.We do not guarantee introductions, investor access, customer leads, friendships, partnerships, hiring outcomes, press, attendance levels, event frequency, or that any particular speaker, member, feature, or benefit will remain available.

13. Intellectual Property

We retain all rights in our brand, website, content, event formats, community materials, and other intellectual property, except as otherwise stated.You may not reproduce, republish, resell, scrape, or commercially exploit membership content or member lists without our written consent.

14. Communications

You agree that we may send you transactional and service-related communications about your membership, including receipts, billing notices, renewal notices, event updates, schedule changes, and policy updates.Marketing communications are subject to applicable opt-out rights.

15. Privacy

Your use of membership services is also subject to our Privacy Policy.

16. Electronic Acceptance

You agree that checking a box, clicking to accept, completing checkout, or otherwise electronically agreeing to these Terms constitutes your electronic signature and has the same force as a handwritten signature.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMBERSHIP SERVICES AND RELATED OFFERINGS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 12SF AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, HOSTS, PARTNERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR INVESTMENT OPPORTUNITY, ARISING OUT OF OR RELATING TO MEMBERSHIP OR THESE TERMS.TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO MEMBERSHIP OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE APPLICABLE MEMBERSHIP DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot be limited under applicable law.

19. Indemnity

You agree to indemnify and hold harmless 12SF and its officers, employees, contractors, hosts, partners, and affiliates from and against claims, losses, liabilities, damages, judgments, and expenses, including reasonable attorneys' fees, arising out of or related to your breach of these Terms, misuse of membership, violation of law, or conduct toward other members or third parties.

20. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.Any dispute arising out of or relating to these Terms or membership will be brought exclusively in the state or federal courts located in San Francisco, California, and each party consents to that venue and jurisdiction.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated version and revise the "Last updated" date.Changes apply prospectively unless applicable law allows otherwise.

22. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.Our failure to enforce any provision is not a waiver.You may not assign your membership or these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.These Terms, together with plan-specific checkout disclosures and any separate event-specific waivers or policies expressly incorporated by reference, form the entire agreement between you and us regarding membership.

Schedule A — Founding Membership

A1. Plan Overview

The Founding Membership is a premium membership plan for the founding cohort and related priority access programming.Founding Membership benefits may include access to a vetted inner circle, curated experiences, priority access to eligible experiences, events or trips, credits usable toward eligible experiences, and other benefits described on the Founding Membership page or checkout page.

A2. Founding Membership Options

The Founding Membership may be offered through more than one payment option. The option you select at checkout controls.

A3. Annual Founding Membership

If you purchase the annual Founding Membership option, you are charged the annual price disclosed at checkout, which may be stated as $3,000 for a 12-month term unless a different amount is disclosed.The annual Founding Membership begins when the first payment is successfully processed and continues for 12 months.Unless clearly stated otherwise at checkout, the annual Founding Membership renews automatically at the then-current annual rate for additional 12-month periods unless canceled before the next renewal date.

A4. Monthly Installment Founding Membership

If you purchase the monthly installment Founding Membership option, you agree to a 12-month Founding Membership commitment billed in 12 monthly installment payments, which may be stated as $250 per month for 12 months unless a different amount is disclosed.This option is a payment plan for a fixed 12-month membership commitment. It is not a cancel-anytime month-to-month membership.Canceling after purchase stops future renewal only, if renewal applies, and does not waive or reverse unpaid installment obligations for the initial 12-month commitment.

A5. Non-Refundable Fees

Founding Membership fees are non-refundable once charged, except as required by law.This means no refunds for partial use, non-use, missed events, unused credits, schedule changes, business changes, relocation, dissatisfaction, or early cancellation.

A6. Credits and Eligible Experiences

If the Founding Membership includes credits, the number of credits and their permitted use are as described on the Founding Membership page or checkout page.Unless we state otherwise in writing, credits have no cash value, are non-transferable, may only be used during the applicable membership term, and expire at the end of that term.Eligible experiences, required credits, booking rules, and capacity limits may vary.

A7. Cancellation

For automatically renewing annual Founding Memberships, you may cancel before the next annual renewal date to avoid future renewal charges.For monthly installment Founding Memberships, cancellation does not relieve you of the obligation to pay the remaining installments for the initial 12-month commitment.

Schedule B — Standard Membership

B1. Plan Overview

The Standard Membership is an ongoing monthly membership plan for members who want continuing access to the 12SF community and calendar.Standard Membership benefits may include member-only gatherings or roundtables, private member chat, member directory access, early booking windows for eligible events, opportunities to co-host future experiences, and special pricing on eligible events, as described on the applicable membership page or checkout page.

B2. Billing and Renewal

Unless a different price is clearly disclosed at checkout, the Standard Membership is billed at $110 per month.The Standard Membership begins when the first payment is successfully processed and renews automatically each month until canceled.

B3. Cancellation

You may cancel the Standard Membership at any time before your next monthly renewal date to avoid future charges.If you cancel, your membership remains active through the end of the current paid billing period and then ends.Cancellation does not apply retroactively and does not reverse charges already processed.

B4. Refunds

Standard Membership payments are non-refundable once charged, except as required by law.There are no partial-month refunds or prorated refunds for unused time.

B5. Event Access

The Standard Membership does not include unlimited attendance at all events.Some events, experiences, trips, dinners, or activities may require separate payment, separate registration, separate approval, or additional fees.
